BACKGROUND INFORMATION
The client(PARTY A) wish to undertake a global multicentric clinical research project in the capacity of the chief investigator and wish to make memorandum of understanding with the various research organisations(PARTY B) & researchers(PARTY B) in India and globally. The global multicentric research project that is being carried out right now may convert into a commercial product or service later on. At this point of time, the client(PARTY A) is not sure about what trajectory the research project will take in future. There are many stakeholders involved and it will take long time before the commercial potential of this research can be realised. The PARTY A is also the owner of the company(PARTY C) who has funded this project however the memorandum of understanding is between the PARTY A (not PARTY C) and PARTY B.

WHAT ARE THE ISSUES?
1. PARTY A,therefore, want to safeguard him from future allegation or litigation on grounds of unfair business practices or creating an IP from illicit practices/withholding complete information from PARTY B, especially about his association with PARTY C.
2. PARTY B who are associated with this project will get credit for their work in terms of presentation and publication. PARTY B are getting involved today because PARTY A is telling them that today, they don’t know whether there is commercial angle involved and this is purely done as an academic exercise. Therefore, at some point, if and when it is commercialised, PARTY A don’t want PARTY B to stand up and claim right to intellectual property
3. PARTY B who are associated with this project will get credit for their work in terms of presentation and publication in global forums however this credit will not amount to intellectual property rights.
4. How will the PARTY A protect himself, should there be any lawsuit from PARTY B or any other party? The PARTY A would like to get protection as PARTY A is merely carrying out the agenda and interest of PARTY C and the agreement is being shown as personal capacity.
